Agreement to these terms
These Terms of Service ("Terms") apply to your use of the KnitOps website and to any services you engage KnitOps ("KnitOps," "we," "us," or "our") to provide. By using our website or our services, you agree to these Terms. If you are agreeing on behalf of a business, you confirm that you have authority to bind that business.
Our services
Our website describes our services in general terms. Specific work, including its scope, deliverables, timeline, and price, is set out in a written proposal, statement of work, or agreement that we share with you (a "Proposal"). If a Proposal conflicts with these Terms, the Proposal controls for that work.
Consultations and estimates
Initial consultations are free and carry no obligation. Any estimate, timeline, or recommendation we share before a Proposal is accepted is a good-faith estimate, not a binding offer.
Fees and payment
Fees, payment schedules, and accepted payment methods are described in your Proposal. Unless the Proposal says otherwise, invoices are due on receipt. Third-party costs, such as domains, hosting, software licenses, and paid plugins, are your responsibility, whether you pay the provider directly or we pass the cost through to you. We may pause work on overdue accounts.
Your responsibilities
To help us deliver on time, you agree to:
- provide accurate information and timely content, feedback, approvals, and access;
- make sure you have the rights to any text, images, logos, or other materials you give us to use;
- keep your account credentials secure and tell us promptly about any unauthorized access you become aware of;
- keep your own copies of important data unless backups are part of the services in your Proposal.
Third-party services
Our work often relies on third-party platforms, such as hosting providers, domain registrars, email services, analytics, and search engines. Their own terms apply to your use of them. We are not responsible for their availability, pricing, policy changes, or outages, though we will help you work through issues that affect your project.
No guaranteed results
Search rankings, traffic, and business outcomes depend on many factors outside our control, including search engine algorithms and competition. We focus on strong fundamentals and honest expectations, and we do not guarantee specific rankings, traffic, or revenue.
Intellectual property
The content of this website, including its text, graphics, logos, and design, belongs to KnitOps or its licensors and may not be copied or reused without our written permission.
Ownership of the deliverables we create for you is set out in your Proposal. Unless the Proposal says otherwise, ownership of final deliverables transfers to you once you have paid in full. We keep ownership of our pre-existing tools, code, templates, and know-how, and we grant you the rights you need to use them as part of your deliverables. We may show completed work in our portfolio unless you ask us not to.
Acceptable use
When using our website, you agree not to:
- attempt to gain unauthorized access to the website or the systems behind it;
- interfere with the website's operation or security, or upload malicious code;
- scrape or harvest content or data by automated means without our permission;
- submit false information or use our forms to send spam.
Confidentiality
Each of us agrees to keep the other's non-public business information confidential and to use it only for the purpose of our work together, unless disclosure is required by law.
Disclaimers
Our website and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Any warranties for services are limited to those stated in your Proposal.
Limitation of liability
To the fullest extent permitted by law, KnitOps will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim related to our website or services is limited to the amount you paid us for the services giving rise to the claim during the 12 months before the claim arose.
Indemnification
You agree to defend and indemnify KnitOps against claims, losses, and expenses, including reasonable legal fees, that arise from materials you provide to us or from your misuse of our website or services.
Termination
We may suspend or restrict access to our website at any time. Either of us may end a project as described in its Proposal. Sections that by their nature should continue, such as payment, intellectual property, confidentiality, and limitation of liability, survive the end of our work together.
Governing law
These Terms are governed by the laws of the state in which KnitOps is organized, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in that state, unless applicable law requires otherwise.
Changes to these terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Changes apply from that date and do not affect Proposals already accepted.
